Purchase of control status analysis service

Summary

The tender concerns the purchase of a service for analysing control status and ownership status. The contractor must carry out and deliver up to 60 analyses under the base contract, and up to 60 additional analyses if the buyer uses the option. The bidder must show at least one similar service performed within the last five years: an analysis of ownership structure, including ownership, capital or organisational links, aimed at determining whether entities from EU or EEA countries exercise control. If the bidder has been operating for a shorter period, the relevant shorter period applies. In a joint bid, this condition must be met in full by at least one bidder; it cannot be met cumulatively by several bidders. The bidder must also have or secure a team with higher education and recent professional experience in ownership-structure and capital-link analysis, knowledge of European and international law, experience with commercial registers and ownership databases, and knowledge of third-country regulations, including Regulation (EU) 2019/452 on the screening of foreign direct investments. The project manager must have higher education and have managed projects in the last three years, including at least one project concerning ownership structure, beneficial owners or capital links. There must also be at least two experts, each with higher education, knowledge of European and international law, especially the free movement rules of goods, services, capital and persons in the EEA, Switzerland and the EU, and at least two years of experience in analysing ownership structures, beneficial owners or capital links with entities from the EU, EEA or Switzerland. The bid must include the Single European Procurement Document, and later the buyer may request service references, staff lists, criminal record information, register extracts and confirmations that the information is up to date.
